Please read carefully and understand all terms and conditions before starting your account with Placement Leaders (PlacementLeaders.com).

1. Introduction
Placement Leaders is a company that prides itself in delivering quality generated leads by using comprehensive marketing techniques and management services. Advanced technology and strategy, that has continuously proven to be the best, now allows you to maximize your experience in your respective fields.  Although any search phrase can be registered, our experienced sales staff will help you find the best terms available for your field.  Search phrases will show up in a continuously growing number of search engines such as: Yahoo, Excite, AltaVista, Lycos, Iwon, Ask Jeeves, Hotbot, MSN, Netscape, AllTheWeb, NBCi, CNN.com, Info Space, Cnet, Dogpile, WhatUSeek, Goo.com, Anzwers, ESPN, Juno, NetZero, MySimon, WebCrawler, MetaCrawler, Search.com, Go2Net, and 411Web.  Placement Leaders also provides many other services, such as search engine optimization, search engine submission, hosting, and custom websites.

2. Use
For purposes of this Agreement, Placement Leaders utilizes a process by which advertisers pay a flat rate monthly, quarterly (three months), or semi-annually (six months) for search terms to appear in the sponsor matches section or sponsored listings section of the search engines listed above. Placement Leaders registers desired search terms so that when users search for your desired term(s) you will appear in the top three rankings.  There are, however, particular search engines under which your term(s) will appear in the top ten listings for reasons of affiliate partnerships.  Search terms will appear to all users who have Internet access with no enhanced features needed.

3. Payment
By signing up with Placement Leaders you are agreeing to pay the full registration price set by Placement Leaders for each search phrase registered.  In order to open an account with Placement Leaders you will be required to pay a one-time start-up fee unless otherwise waived by Placement Leaders. Also, you will pay for an estimate of traffic that Placement Leaders calculates for you during your contract term. Payments will be collected in one, three, or six-month intervals.  You may change your URL at any time with Placement Leaders, but each time a search term is registered or you request a change of URL, you are subject to a review panel that will make sure your website meets site relevance requirements.   Payment is due at the time Placement Leaders agrees to register your search terms and all authorization forms are complete.  The preferred payment method of Placement Leaders is by check. 4. Duration of Service
The duration of the service will vary from customer to customer depending on the contract term you have chosen. All contracts will be for one, three, or six months. A Placement Leaders representative will contact you prior to your term’s expiration date to verify continuation of the service. Renewal will be billed based on adjusting prices for your search term(s). Prices will vary due to seasons, demand, and many other factors.  Most renewals, however, will be billed to you for less than the original price you paid.   To have uninterrupted service please have your renewals taken care of at the time they are due.

5. Types of Services
I.Sponsor Listing/Sponsor Matches – Placement Leaders guarantees our listings to be in the top three of following search engines unless otherwise noted above: Yahoo, Excite, AltaVista, Lycos, Iwon, Ask Jeeves, Hotbot, MSN, WhatUSeek, Goo.com, Anzwers, ESPN, Netscape, AllTheWeb, NBCi, CNN.com, Info Space, Cnet, Dogpile, Juno, NetZero, MySimon, WebCrawler, MetaCrawler, Search.com, Go2Net, and 411Web.  This is a continuously growing list of search engines; however, due to affiliate partnerships some listings will not appear in the top three listings for reasons Placement Leaders has no control over.  Prices will vary depending on popularity of search term(s) and season.
II.Search Engine Optimization – Placement Leaders uses sophisticated software that will optimize your website’s meta-tags in the search engines to receive better placement in all the major search engines listed above.  The software is built to increase your placement; but Placement Leaders does not guarantee you a specific position. The price ranges from $600.00-$750.00 depending on the number of meta-tags you are requesting to be put into your site.
III.Search Engine Submission – Are you tired of not being able to find yourself anywhere in the search engines?  Allow Placement Leaders to use our cutting edge software to submit your website to all the major search engines once a month. Each website must be submitted on a particular date and can only be submitted once a month or it will be kicked out of the search engines. Don’t worry, our software is designed to take care of all that for you.  Price:  $350.00 per year.
IV.Hosting – Placement Leaders is also capable of hosting any website. Hosting prices vary depending on number of pages, E-commerce, and number of databases your website runs from.  Price:  $240.00 and up.
V.Custom Website – If you are looking to build or make changes to an already existing website, Placement Leaders can make those changes for you.  Most constructions and alterations are completed within a week, depending on the complexity of the website you are wishing to build.  Prices can vary on websites depending on what you want on it.  The first page will cost $199.00 and for every page added you will pay $100.00. E-Commerce software is available for $500.00 if you desire to have a shopping cart on your website.


6. Third Party Disputes
Placement Leaders registrants must not, under any circumstance, infringe upon the rights of a third party’s intellectual property. You must provide us with written documentation that you are the legal owner of, or person responsible for the company you are representing upon the request of Placement Leaders.  You will assume full responsibility for the company’s actions.  You understand that if a dispute arises you will assume all legal and/or financial liability that arises from the challenge. You must agree to hold Placement Leaders harmless and, upon request, defend Placement Leaders, partners, affiliates, successors, and employees, from and against all claims and liabilities.  You must not seek changes on any agreements or authorization forms without prior approval by Placement Leaders. For resolving disputes with third parties you agree to submit to appropriate jurisdiction, personal jurisdiction, and courts of your residence provided at the time of registration with Placement Leaders.

7. Representation and Guarantees
•All statements made by Placement Leaders and you during the registration process are accurate to the best of our ability.
•To your knowledge, your registration will not violate this Agreement in any way.
•You are the owner or reputable representative of the website Placement Leaders will be linking search term(s).
•You are not registering search term(s) for unlawful purposes or in violation of any applicable laws or regulations.
•You are not using Placement Leaders in any form, directly or indirectly to promote racism, discrimination, violence, hate, and/or offensive material. Placement Leaders will attempt to judge the intent of each search term and its use.

8. Revoking Search Term(s)
The search term(s) you registered may be revoked at any time during the one, three, or six month contract term for any of the following reasons.

•If you breach the Terms & Conditions Agreement, including the representation and guarantees you made during this registration;
•If you provide misleading or false information during the registration;
•Register search term(s) that violate any laws or regulations;
•If your search term(s) are linked to any website that promotes in any form racism, discrimination, violence, hate, and/or offensive material;
•If your search term(s) does not provide the user with a positive navigational experience which is determined solely by Placement Leaders;
•If you do not protect the integrity of Placement Leaders and affiliates.

9. Exemption from Liability
You agree not to hold Placement Leaders or any affiliates liable for claims or demands, including sensible attorney fees made by third parties due to the use of your registration or advertising strategy. If you force your liability issues on Placement Leaders you agree that when it is apparent that the obligation has formed, all cost will be billed to you.

10.  Liability Limitations
You agree that Placement Leaders and all affiliates will have no liability for any loss you may incur in connection with the registration you have made with Placement Leaders. You agree that Placement Leaders’s maximum liability to any affiliates and employees will not exceed a reasonable fee of two hundred US dollars, the equivalent of your start-up fee.

11.  Warranty Disclaimer
Placement Leaders does not guarantee that the operation of search term(s) will remain the same. As technology improves and affiliates’ partnerships change so will our service.  Most changes to your service will be gradual or unnoticeable. Placement Leaders will not be held responsible for any downtime incurred by you or any third party. 

12.  Early Termination
In the event you wish to break your contract with Placement Leaders:

While we all know that all companies endure cancellations, refunds, and early terminations, each has its own refund policy.  Placement Leaders refund policy is outlined here; customers who wish to end their contract prior to their expiration date will be charged 10% of their total amount as well as a pro-rated amount.  For example, a customer signs up for a quarterly contract (90 days) and spends $500.00. After 45 days of service the customer wishes to cancel his/her contract will receive a $200.01 refund. (10% X $500.00 = $50.00; $500.00/90 days = $5.55 per day; $5.55 X 45 days = $149.99 which is your pro-rated refund; 10% or $50.00 + $149.99 = 299.99 that Placement Leaders will keep.  Your refund amount is $200.01, which will be mailed to you by check.)

13.  Administrators
You agree that if a marketing director or administrative contact completes the registration process for you, the owner, that you and your company will be bound to all Terms & Conditions of Placement Leaders.

14.  Integrity
You agree that this agreement and all documents between you and Placement Leaders are complete and accurate during the registration of your search term(s) and/or other services Placement Leaders offers.  This Agreement replaces any prior agreement between you and Placement Leaders.

15.  Laws and Jurisdiction
This Agreement shall be governed in accordance with the State of Florida, United States of America, without regard to conflicts of law principles, associable to contracts formed in Florida for services pursued in Florida. By agreeing to the Terms & Conditions, in the event there is a dispute between you and Placement Leaders, you concur to the exclusive and personal jurisdiction and venue of the state courts located in Pinellas County, Florida or Federal courts representing the Central District of Florida.
